Accession Digital (“we”, “us”, or “our”) is a digital business, automation, and systems agency based in Ireland, providing services to clients in Ireland, the European Union, and the United States.

• Automation and AI integration
• Marketing systems and optimisation

The scope, timeline, and deliverables of services will be agreed upon in writing with each client.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our services.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information
• Respond promptly to requests required to deliver services
• Ensure you have the legal right to use any content, data, or materials you provide
• Comply with all applicable laws and regulations

We are not responsible for delays or failures caused by incomplete information or lack of cooperation.

5. Fees and Payment

• Fees will be agreed in advance and outlined in a proposal, contract, or invoice
• Payment terms are strictly enforced as stated
• Late payments may result in suspension of services
• All fees are non-refundable unless otherwise agreed in writing

6. Intellectual Property

Unless otherwise agreed:

• All pre-existing intellectual property remains the property of its original owner
• Upon full payment, clients receive a non-exclusive, non-transferable licence to use deliverables for their intended purpose
• We reserve the right to showcase completed work for portfolio and marketing purposes unless otherwise agreed

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or commercial information shared during the course of the engagement, unless disclosure is required by law.

8. Third-Party Tools and Services

We may use third-party platforms, software, or services as part of delivering our services. We are not responsible for outages, changes, or failures caused by third-party providers.

9. Disclaimers

• Services are provided on an “as is” and “as available” basis
• We do not guarantee specific business, revenue, or performance outcomes
• Marketing and automation results may vary based on factors outside our control.

10. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid to us in the three (3) months preceding the claim

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

• Your use of our services
• Content or data you provide
• Your violation of applicable laws or regulations

12. Termination

We may suspend or terminate services immediately if:

• These Terms are breached
• Payment obligations are not met
• Required cooperation is not provided

Upon termination, outstanding fees remain payable.

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of our services constitutes acceptance of the updated Terms.
